Terms of Service

By accessing or using REP Status ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

REP Status is operated by Apex Reserve Group. References to "we," "our," or "us" refer to REP Status and Apex Reserve Group.

REP Status is a time tracking and documentation tool designed to help real estate investors track their hours toward qualifying as an IRS Real Estate Professional (REP) under IRC Section 469(c)(7).

The Service allows you to:

• Log and categorize time spent on real estate activities
• Track progress toward the 750-hour requirement
• Manage property portfolios and activity categories
• Generate reports for your records
• Track spouse or managing partner hours when applicable

To use REP Status, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

You must be at least 18 years old to create an account.

REP Status offers subscription plans:

• Monthly: $10 per month
• Yearly: $100 per year (save 17%)
• Apex Customers: Free access for Apex Reserve Group cost segregation customers

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. No refunds are provided for partial periods.

You agree to:

• Accurately record your time entries and activities
• Use the Service only for lawful purposes
• Not attempt to access other users' accounts or data
• Not interfere with or disrupt the Service
• Not use automated systems to access the Service without permission

Our Property: REP Status, including its design, features, and content, is owned by Apex Reserve Group and protected by intellectual property laws. You may not copy, modify, or distribute our software without permission.

Your Data: You retain ownership of all data you enter into REP Status, including time entries, property information, and reports. You grant us a license to store and process this data solely to provide the Service.

REP STATUS IS NOT A TAX OR LEGAL SERVICE.

The Service is a time tracking and documentation tool only. It does not provide tax advice, legal advice, or professional consultation. The calculations, thresholds, and information displayed are for informational purposes only.

You must consult with qualified tax and legal professionals regarding your specific situation, IRS Real Estate Professional qualification, and tax filing requirements. We make no representations or warranties regarding the accuracy of tax-related calculations or your eligibility for REP status.

Your use of REP Status does not create any professional relationship between you and Apex Reserve Group regarding tax or legal matters.

You agree to indemnify, defend, and hold harmless REP Status, Apex Reserve Group, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any tax-related decisions or filings based on data from the Service

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REP STATUS AND APEX RESERVE GROUP SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Any damages arising from your reliance on the Service for tax purposes
• Any IRS determinations regarding your Real Estate Professional status

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation.

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

We may suspend or terminate your account if you violate these Terms or engage in fraudulent or harmful behavior. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time by contacting us or using the account settings.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Florida.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and REP Status regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Continued use after changes constitutes acceptance of the new Terms.
